The blog and knowledge base

Articles in /blog and /kb are published for general guidance. They're written carefully — but they're not legal advice, not engineering advice for any specific stack, and not a substitute for evaluating your own situation. Orange County Design can't be responsible for outcomes when someone implements an approach described in an article without engaging Orange County Design or another qualified party to do the work properly.

External links — to Wikipedia, IETF RFCs, vendor documentation, and similar — are provided as starting points for further reading. Orange County Design does not endorse and is not responsible for content at those destinations.

Inquiries and engagements

Sending an inquiry through /contact does not create an engagement. Orange County Design responds to qualified inquiries within the response window stated on the contact page. Orange County Design reserves the right to decline any project for any reason consistent with applicable law.

A formal engagement begins when both parties sign a written proposal, statement of work, or service agreement that specifies scope, deliverables, fees, and timeline. Until that document is signed, no work has been committed, no payment obligation exists, and any discussions are exploratory.

Engagement-specific terms — payment schedules, intellectual property assignment, confidentiality, warranties, indemnification, termination — are set in the signed engagement document and override any general terms on this page where they conflict.

Fees and payment

Project fees and payment schedules are set in the signed engagement document. Orange County Design's standard practice is a deposit at engagement kickoff with the remainder due on milestones or completion. Invoices are due on the date specified in the document. Late payments may incur reasonable interest charges as stated in that document.

Intellectual property

Subject to full payment of all fees due, deliverables produced specifically for a client under a signed engagement are transferred to that client as work-made-for-hire or assigned outright, as specified in the engagement document. Orange County Design retains the right to reference and showcase completed work in a portfolio unless the engagement specifies otherwise.

Pre-existing materials — frameworks, templates, libraries, tooling — that Orange County Design uses to deliver a project remain Orange County Design's property. The client receives a license to use them as embedded in the delivered work; the materials themselves are not transferred.

No warranties; limitation of liability

This site and the information on it are provided "as is." Orange County Design disclaims all warranties, express or implied, to the maximum extent permitted by California law. Orange County Design's liability arising from the use of this site or its content is limited to direct damages and capped at the amount, if any, paid to Orange County Design in connection with the matter in question.

For paid engagements, warranties and liability are governed by the signed engagement document, not by this page.

Jurisdiction

These terms are governed by the laws of the State of California, USA. Any dispute that can't be resolved amicably will be resolved in the courts of Orange County, California, and both parties consent to that venue.

Changes

These terms may evolve as the business does. The "Last updated" date at the top reflects the most recent change. Continued use of the site after a change is published implies acceptance of the updated terms.
